Corporate Securities Attorney
Mike Doran is the Chief Legal Officer, General Counsel and Corporate Secretary of Merriman Capital, Inc. Merriman is a publicly traded holding company and of subsidiary Merriman Capital, Inc., a boutique investment bank in San Francisco focused on small- and mid- capitalization issuers in public offerings and private placements. Mike represents the company before the SEC, other regulators, and stock exchanges. He advocates for Merriman Capital at hearings and informal proceedings, and manages Sarbanes Oxley compliance. He works closely with investment bankers, clients, syndicate members and outside counsel in client public and private offerings and M&A transactions. Mike also sets company policy, manages compliance, and defends claims regarding employment matters, and structures the executive compensation packages and equity incentive plans.
Before going in-house, he advised companies and investors in Silicon Valley on a full range of financial and intellectual property transactions, including over $3 billion in financing transactions for all types of companies, both public and private offerings, venture capital transactions and mergers and acquisitions. He was a partner in the corporate group of Fish & Richardson PC, and prior to that practiced with Brobeck Phleger & Harrison LLP. Before attending law school, he was an institutional equity broker in the London office of Salomon Brothers.
Doran received his JD from Stanford Law School where he was a founding editor of the Stanford Journal of Law Business and Finance and research assistant to Prof. Joe Grundfest, a former commissioner of the SEC. He holds a BA in economics from Drury University where he graduated magna cum laude before studying at the London School of Economics.
